StatTradES ("StatTradES", "we", "us", "our" or "the App") provides market insights and directional bias information related to financial indices such as the S&P 500.

All content is intended solely for informational and educational purposes to help users understand general market trends and statistical concepts in trading.

The App does not provide financial, investment, legal, or tax advice, and nothing contained in the App constitutes a recommendation to buy, sell, or hold any security, index, or derivative instrument.

By accessing or using StatTradES, you ("you", "user") agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use the App.

The opinions, analyses, and "directional bias" statements displayed in StatTradES are general market commentary only. They are not customized to any user's financial situation, risk tolerance, objectives, or time horizon.

The creators and distributors of StatTradES are not registered as investment advisers, portfolio managers, broker-dealers, or commodity trading advisors (CTAs) with any provincial securities commission or self-regulatory body in Canada or elsewhere.

If you require personal financial advice, you should consult a registered financial adviser or licensed securities professional in your jurisdiction.

By using StatTradES, you acknowledge and understand that:

By using StatTradES, you agree that you assume all risks associated with your use of this information.

StatTradES is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory.

Without limiting the foregoing, we make no representations, warranties, or guarantees that:

• The App or its content will meet your requirements or expectations.
• The App will be uninterrupted, timely, secure, or error-free.
• The results that may be obtained from use of the App will be accurate, reliable, or profitable.
• Any errors or defects will be corrected.

We expressly disclaim all implied warranties, including but not limited to:

• Merchantability,
• Fitness for a particular purpose, and
• Non-infringement.

The use of the App and any content or materials obtained through it is at your own discretion and risk. You are solely responsible for any damage to your device, loss of data, or other harm that results from such use.

To the maximum extent permitted by applicable law, in no event shall StatTradES, its developers, owners, affiliates, service providers, partners, or licensors be liable to you or any third party for:

• Any direct, indirect, incidental, special, punitive, or consequential damages;
• Any loss of profits, trading losses, loss of revenue, loss of data, or other economic loss;
• Any damages arising out of or in connection with your use of, or inability to use, the App or its content.

This applies whether the claim is based on contract, tort (including negligence), strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.

Your sole and exclusive remedy for dissatisfaction with StatTradES, its content, or these Terms is to stop using the App.

Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties; in such cases, our liability will be limited to the fullest extent permitted by law.

StatTradES is an educational tool designed to help users learn about general market sentiment and statistical bias concepts. It is not a trading signal provider and should never be interpreted as a recommendation to trade.

All users are expected to perform their own due diligence and consult with qualified professionals before making any financial or investment decisions.

If StatTradES offers paid features, subscriptions, or in-app purchases:

• Payments are processed securely through Stripe, the Apple App Store, Google Play Store, or other approved payment processors.
• Subscriptions may automatically renew unless cancelled in accordance with the applicable platform's billing policies.
• Except as required by law or platform policy, payments are non-refundable once processed.
• You are responsible for managing your subscription, including timely cancellation through your App Store / Google Play / Stripe account or other specified channel. We are not responsible if you fail to cancel your subscription before renewal.

All paid content is subject to the same disclaimers and risk warnings as free features.

You agree to:

• Use the App only for lawful, educational, and informational purposes.
• Not distribute, copy, resell, or exploit the App or its content for commercial purposes without our prior written permission.
• Not rely solely on the App's data, analytics, or directional bias outputs when making investment or trading decisions.
• Maintain the security and confidentiality of your account credentials.
• Comply with all applicable laws and regulations in your jurisdiction.

Your use of StatTradES is subject to all applicable laws and regulations, and you are solely responsible for the content and conduct associated with your account.

You agree not to, and not to allow others to, use the App to:

• Upload, share, or transmit any content that is:
  • Unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, or otherwise objectionable;
  • Hateful or discriminatory based on religion, gender, sexual orientation, race, ethnicity, age, or disability;
  • Explicitly sexual, violent, or intended to incite harm.
• Infringe any intellectual property or proprietary rights of any party, including copyright, trademark, trade secret, or rights of publicity or privacy.
• Distribute unsolicited or unauthorized advertising, spam, chain letters, pyramid schemes, or any other form of solicitation.
• Upload or distribute any software, code, or files that contain viruses, malware, or other harmful components intended to disrupt or damage software, hardware, networks, or data.
• Attempt to gain unauthorized access to any account, system, network, or data, or to probe, scan, or test the vulnerability of any system or network.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Interfere with or disrupt the use or enjoyment of the App by other users.

We reserve the right, at our sole discretion, to monitor, restrict, suspend, or terminate accounts that violate these provisions or applicable law, and to cooperate with law enforcement authorities in investigating suspected illegal activities.

"User Content" means any data, text, notes, journals, psychology entries, trade information, preferences, or other materials you input, upload, or submit to the App.

Ownership: You retain ownership of your User Content.

License to StatTradES: By submitting User Content to the App, you grant StatTradES a worldwide, non-exclusive, royalty-free, transferable license to:

• Store, process, display, and back up your User Content;
• Use your User Content as necessary to operate, maintain, and improve the App and its features;
• Create and use anonymized or aggregated data derived from your User Content for analytics, AI training, research, and service improvement, provided such data does not identify you personally.

We do not sell your personal User Content and will not publicly display your identifiable User Content without your explicit consent, except as required by law or as necessary to enforce these Terms.

You represent and warrant that:

• You have all necessary rights, licenses, and permissions to submit the User Content and grant the above license.
• Your User Content does not violate these Terms or any third-party rights.
• Your User Content does not include information you are prohibited from disclosing (e.g., information under a nondisclosure agreement or belonging to others without permission).

We may, at our sole discretion, remove or restrict access to any User Content that we believe violates these Terms or applicable law.

All intellectual property rights in StatTradES, including but not limited to the App's software, design, text, graphics, logos, icons, images, and data (excluding your User Content), are owned by us or licensed to us.

Except for limited rights granted to you to use the App in accordance with these Terms, no license or right is granted to you in any of our intellectual property.

You may not:

• Reproduce, modify, adapt, translate, distribute, transmit, display, publish, license, create derivative works from, or sell any portion of the App or its content (other than your own User Content), without our prior written consent.
• Use our trademarks, logos, or service marks without prior written permission.

Your trading data, notes, and personal information are stored securely using the Base44 platform and other service providers as outlined in our Privacy Policy.

You retain ownership of all data you input into the App.

We do not sell your trading data to third parties.

We may use anonymized and aggregated data to improve services, develop analytics, and enhance features.

By using the App, you consent to our data collection and use practices as described in our Privacy Policy, which is incorporated by reference into these Terms.

StatTradES is built on the Base44 platform, which provides backend infrastructure, authentication, and data management services.

Your use of StatTradES may also be subject to Base44's own terms and privacy policies. Base44 acts solely as a service provider and is not responsible for the trading-related content, analysis, or any decisions you make based on StatTradES.

The App may integrate with or link to third-party services, including but not limited to:

• Social media platforms (e.g., Twitter/X),
• Cloud storage services,
• AI and machine learning services,
• Market data providers.

We do not control and are not responsible for:

• The content, accuracy, policies, or practices of third-party services;
• Any products, services, or materials provided by third parties;
• Any loss or damage arising from your use of third-party services.

Your use of third-party services is at your own risk and subject to the terms and privacy policies of those third parties.

Certain features of StatTradES use artificial intelligence and machine learning to generate psychological insights, analytics, and other content.

You acknowledge and agree that:

• AI-generated content may contain errors, omissions, or inaccuracies.
• AI outputs are informational only, not advice or instructions.
• You will not rely solely on AI-generated content for trading or investment decisions.
• You remain fully responsible for any actions you take based on AI content.

We strive to maintain continuous availability of StatTradES but do not guarantee that the App will always be available or free from interruptions.

You understand and agree that:

• Temporary interruptions may occur due to maintenance, updates, outages, network issues, or circumstances beyond our control.
• We may modify, suspend, or discontinue any part of the App at any time, with or without notice.
• We are not liable for any loss, damage, or inconvenience caused by service interruptions or changes.
• Updates may be required for continued use of certain features. You are responsible for installing available updates.

If you downloaded StatTradES from the Apple App Store or Google Play Store:

• You acknowledge that these Terms are between you and StatTradES, not Apple Inc. or Google LLC.
• Apple and Google are not responsible for the App, its content, support, or maintenance.
• Subscriptions and in-app purchases may be managed through your Apple ID or Google Play account, and their billing terms apply.
• You agree to comply with all applicable third-party terms when using the App.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree to:

• Not share your account or password with any other person.
• Notify us promptly of any unauthorized access, use, or suspected breach of security related to your account.
• Use appropriate security measures on your devices (e.g., PINs, biometrics, up-to-date software).

We are not liable for any loss or damage arising from your failure to protect your account credentials or devices.

We reserve the right, at our sole discretion, to suspend or terminate your account and/or access to the App at any time, with or without notice, including if:

• You violate these Terms or applicable law;
• We suspect fraudulent, abusive, or harmful activity;
• We discontinue the App or any part of it.

You may terminate your account at any time through the App or by contacting support.

Upon termination:

• Your right to access and use the App will cease immediately.
• You may lose access to your data unless you have exported it prior to termination.
• We may retain certain information as required by law or for legitimate business purposes (e.g., preventing fraud, legal compliance).

We may update or modify these Terms from time to time. When we make material changes, we will notify you through the App and/or by email, where feasible.

Your continued use of StatTradES after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the App.

These Terms are governed by and construed in accordance with the laws of the Province of Alberta, Canada, and the applicable federal laws of Canada.

Any disputes arising under or in connection with these Terms or your use of the App are subject to the exclusive jurisdiction of the courts of Alberta, Canada, and you consent to such jurisdiction.

In the event of any dispute, claim, or controversy arising from or relating to these Terms or your use of the App, you agree to first attempt to resolve the dispute informally by contacting us through our support channels.

If the dispute cannot be resolved informally within a reasonable period, either party may bring a legal action in the courts of Alberta, Canada.

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless StatTradES, its developers, owners, affiliates, partners, service providers, and their respective officers, directors, employees, and agents from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use or misuse of the App;
• Your violation of these Terms or any applicable law;
• Your User Content;
• Your infringement or violation of any third-party rights.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claims.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy and any additional terms or notices provided within the App, constitute the entire agreement between you and StatTradES regarding your use of the App and supersede all prior or contemporaneous agreements, understandings, or communications, whether written or oral.

You acknowledge and agree that:

• No system, platform, or application is entirely secure.
• Despite reasonable security measures, unauthorized access, hacking, data breaches, or other malicious activities may occur.
• StatTradES and its developers, partners, affiliates, and service providers are not liable for any damages, losses, data exposure, or unauthorized access resulting from:
  • Hacking attempts or successful breaches;
  • Malware, viruses, or third-party attacks;
  • Unauthorized access to your device, network, or account due to your failure to maintain appropriate security practices.

You are responsible for maintaining the security of your device, network, and login credentials.

If you have questions about these Terms, the App, or wish to contact us for support or dispute resolution, please do so through the in-app support channels or via the contact information provided in the App.

By using StatTradES, you acknowledge that:

• • You have read, understood, and agree to be bound by these Terms of Use;
• • You understand the risks associated with trading and accept full responsibility for your decisions;
• • You will not hold StatTradES, its developers, or partners liable for any trading losses;
• • You are using this App solely for educational and informational purposes;
• • You understand and accept that StatTradES is not liable for hacking, unauthorized access, or security breaches beyond what is required by applicable law.
